Listoryx Terms

These Terms form a binding agreement between you and Listoryx. By accessing or using the Service, creating an account, browsing listings, posting content, sending messages, joining a community event, or otherwise interacting with the platform, you confirm that you have read, understood, and agree to be bound by these Terms and all policies incorporated by reference. If you do not agree, you must not use the Service.

Listoryx operates an online marketplace and communications platform designed to help users discover, publish, and respond to local opportunities. We provide software tools, not brokerage, escrow, advisory, inspection, delivery, or settlement services. Unless we expressly state otherwise in writing, Listoryx is not the seller, buyer, organizer, landlord, contractor, agent, insurer, guarantor, or representative for any user-to-user interaction.

The Service may be made available in one or more countries, states, provinces, or cities at our discretion. We may use IP address, browser signals, GPS data, postal code, manually supplied location information, or similar signals to determine availability, apply geographic restrictions, and route users to the correct local marketplace experience.

You must be legally able to enter into this agreement and use the Service in the jurisdiction where you access it. If you use the Service on behalf of a business or other organization, you represent that you have authority to bind that entity.

You are responsible for maintaining accurate account information, protecting your login credentials, and all activity conducted through your account. You must notify us promptly of any unauthorized access or suspected compromise.

You are solely responsible for verifying the people, listings, items, prices, descriptions, availability, condition, legality, identity, and safety of anything you choose to buy, sell, rent, join, view, or discuss through Listoryx.

If you post a listing, message, review, image, video, profile detail, or other content, you represent and warrant that you have all rights necessary to do so and that the content is lawful, truthful, and not misleading. You remain solely responsible for your content and for the consequences of publishing it.

You grant Listoryx a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to host, store, reproduce, modify, adapt, publish, translate, distribute, display, and otherwise use your content as reasonably necessary to operate, improve, promote, and secure the Service.

You are responsible for reviewing and approving the accuracy and completeness of each listing before publication. Like other modern marketplace platforms, we may permit tools that help you draft or manage listings, but you remain responsible for the final result.

You may not use the Service to scam, impersonate, harass, threaten, spam, scrape, automate access, bypass security, post unlawful or prohibited items, distribute malware, misrepresent identity or condition, or otherwise violate these Terms, our policies, or any law or third-party right.

You may not buy, sell, transfer, or otherwise trade accounts. You may not collect user information, interfere with moderation, manipulate rankings, abuse reporting tools, or attempt to evade enforcement actions.

If you message, follow, join, connect, or otherwise interact with another user, you are solely responsible for your conduct, statements, and decisions. Keep communications respectful, avoid sharing sensitive information unless strictly necessary, and use caution before moving conversations off-platform.

You acknowledge that communications may be stored, reviewed, preserved, reported, or disclosed where we determine it is reasonably necessary to operate the Service, enforce these Terms, comply with law, or protect users and the platform.

Any payment terms, deposits, refunds, chargebacks, shipping, delivery, meetups, cancellations, service quality, warranties, and disputes are solely between the users involved unless we expressly state otherwise in writing.

You are responsible for any sales, use, income, value-added, duty, withholding, or other taxes, charges, levies, or governmental fees arising from your use of the Service or your transactions. If we are required to collect or remit taxes in a jurisdiction, we may do so.

We may introduce paid features, promotional products, or subscription services in the future. Where applicable, fees may be described at the point of purchase and may be non-refundable unless required by law or expressly stated otherwise.

The Service may integrate with or rely on third-party providers, including hosting, payment, messaging, email, mapping, analytics, identity, and verification services. Those services are governed by their own terms and privacy policies, and Listoryx is not responsible for their acts, omissions, outages, pricing, or data handling practices.

If you choose to use a third-party service in connection with the Service, you do so at your own risk and subject to the third party's terms. We are not responsible for any dispute between you and a third party.

You are responsible for understanding and complying with all laws, rules, and regulations that may apply to your listings, purchases, rentals, communications, or events. Where relevant, you must obtain and maintain any required permits, licenses, certifications, registrations, insurance, or approvals before using the Service for a regulated activity.

We may, at any time and in our sole discretion, block, filter, re-rank, delay, hold, reject, remove, edit, verify, restrict, or restore content, listings, messages, accounts, features, or access in order to protect users, enforce these Terms, comply with law, or preserve the integrity of the Service.

Except for content you submit, all software, trademarks, logos, text, graphics, images, design elements, and compilations on the Service are owned by or licensed to Listoryx and are protected by applicable intellectual property laws.

You may not copy, frame, scrape, adapt, reverse engineer, decompile, create derivative works from, or exploit any part of the Service except as expressly permitted by law or by written authorization from Listoryx.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LISTORYX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Service will be uninterrupted, timely, secure, error-free, or free of harmful components, or that any listing, user, response, match, transaction, or outcome will meet your expectations.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LISTORYX AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR LOST-PROFIT DAMAGES, OR FOR ANY LOSS OF DATA, GOODWILL, BUSINESS, OR OPPORTUNITY ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF LISTORYX FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED U.S. DOLLARS ($100), OR (B) THE AMOUNTS YOU PAID TO LISTORYX, IF ANY, IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

You agree to defend, indemnify, and hold harmless Listoryx and its affiliates, officers, directors, employees, contractors, agents, suppliers, and licensors from and against any claims, demands, losses, liabilities, damages, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your content, your use of the Service, your transactions, your violation of these Terms, or your violation of any law or third-party right.

We may suspend, limit, remove, disable, or terminate your access to the Service, any content, any listing, or any account at any time, with or without notice, if we believe that action is necessary to enforce these Terms, comply with law, protect users, prevent fraud, address abuse, or preserve the integrity of the Service.

You may stop using the Service at any time. Sections that by their nature should survive termination, including ownership, disclaimers, limitation of liability, indemnity, and dispute-related provisions, will continue to apply after termination.

We may revise these Terms from time to time. When we do, we may update the effective date, version number, or other identifying information. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

Except where applicable law requires otherwise, these Terms will be governed by the laws of the state in which Listoryx maintains its principal place of business, without regard to conflict-of-law principles. To the extent a dispute is not subject to a mandatory forum under applicable law, the exclusive venue for any action arising from these Terms will be the state and federal courts located in or nearest to that principal place of business.
